Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of TokenPals (the "Service"), a web-based learning play application provided by Emily Rose Close, an individual sole proprietor trading as "TokenPals" ("we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1. Who can use TokenPals

TokenPals is designed for use by children under the supervision of a parent, guardian, or teacher. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account. If you are creating an account on behalf of an organization (e.g. a school), you represent that you have the authority to bind that organization to these Terms.

2. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating an account and to keep that information up to date.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, or harmful purpose;
  • send spam, malware, or any malicious code;
  • infringe the intellectual property or privacy rights of any other person;
  • probe, scan, scrape, or attempt to interfere with the security or integrity of the Service;
  • reverse-engineer, decompile, or otherwise attempt to extract source code from the Service;
  • resell, redistribute, or sublicense access to the Service;
  • circumvent any technical limits, rate limits, or access controls.

4. Intellectual property

The Service, including its software, content, designs, illustrations, audio, and branding, is owned by Emily Rose Close and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for personal, non-commercial use (or, for classroom accounts, for educational use within your institution), subject to these Terms.

5. User content

Some features (such as a child's name, sticker placements, or progress data) involve content you provide. You retain ownership of that content and grant us a limited, non-exclusive licence to host and process it solely to provide the Service to you.

6. Subscription, payment, and refunds

Paid plans are sold and processed by our reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Subscription terms, billing frequency, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current billing period.

7. Service availability

We work hard to keep the Service running smoothly, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and we disclaim, to the fullest extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

8. Suspension and termination

We may suspend or terminate your access to the Service if:

  • you materially breach these Terms;
  • your payment fails and is not resolved within a reasonable period;
  • we reasonably believe your use of the Service poses a security or fraud risk;
  • you repeatedly or seriously violate our acceptable use rules.

On termination, your right to use the Service ends. We will retain or delete your data in line with our Privacy Notice.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability to you for any claim arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be limited under applicable law.

10. Indemnity

You agree to indemnify and hold us harmless from any claim arising out of (a) content you submit through the Service, (b) your unlawful use of the Service, or (c) your breach of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in-app notice) before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Emily Rose Close resides, without regard to conflict-of-law principles. Any dispute will be resolved in the competent courts of that jurisdiction.
